The federal judge presiding over Elon Musk’s lawsuit against OpenAI on Tuesday turned down Musk’s request to block OpenAI’s planned conversion to a for-profit company. Instead, District Judge Yvonne Gonzalez Rogers requested that the two parties go to a trial this fall.

Musk’s lawyers “failed to meet their burden of proof for the extraordinary relief requested,” wrote U.S. District Judge Yvonne Gonzalez Rogers in a court document. Rogers foreshadowed this outcome at a hearing last month, when she warned Musk’s lawyers that “these motions are rarely granted.”

Since that hearing, Musk has made a $97 billion bid to purchase OpenAI’s business if the conversion proceeds. That did not change Rogers’ decision, but she wrote that “it does undermine the claim” that OpenAI’s conversion would irreparably harm Musk. The Tesla CEO, who donated over $44 million to help set up the OpenAI nonprofit, alleged OpenAI violated a contract with him when it started a for-profit entity.

OpenAI has said that Musk originally supported the possibility of OpenAI becoming a for-profit company by merging with Tesla.

Rogers found that Musk’s claims of anti-trust violations, self-dealing and breach of OpenAI’s charitable mission did not warrant blocking OpenAI’s planned conversion. In fact, she threw out two of Musk’s claims, ruling that he did not have the legal standing to bring them.

But Rogers agreed with Musk that “significant and irreparable harm is incurred when the public’s money is used to fund a non-profit’s conversion into a for-profit.” The lawyers have until March 14 to submit a response.

Elon Musk asked a court to stop OpenAI from converting to a for profit enterprise and engaging in other behavior that could hurt its rivals, including Musk’s own artificial intelligence startup, xAI.
In a filing late Friday, Musk said that the court should haltthe for-profit conversion because it violated the terms of Musk’s funding of OpenAI. Unwinding OpenAI after such a conversion would be “grievously costly, complex, and burdensome,” Musk’s complaint said.
Musk also asked the court to prevent OpenAI from interfering with fundraising efforts by xAI and other startups. His filing accused OpenAI of telling investors in its October funding round not to also put money into rivals. “Musk has further verified that at least one major investor in OpenAI’s October 2024 funding round has subsequently declined to invest in xAI,” the filing said.
In a statement to TechCrunch, OpenAI said Musk’s latest court filing “recycles the same baseless complaints” he has previously made against the company.

Elon Musk on Thursday alleged that Microsoft worked with OpenAI and its CEO, Sam Altman, to “loot” OpenAI, which was established as a nonprofit in 2015, by starting a for-profit arm partly owned by Microsoft in 2019. Musk added Microsoft as a co-defendant in his lawsuit against OpenAI and Altman, which alleges they tricked him into investing tens of millions of dollars in OpenAI before the for-profit unit was launched.

Musk , Reid Hoffman and other tech luminaries that funded OpenAI as a nonprofit got a chance to invest in the for-profit arm. Musk refused while Hoffman funded the for-profit arm, which is now worth $150 billion. Musk added Hoffman, who is a Microsoft board director and was an OpenAI board member until last year, as a co-defendant in the case.

Musk’s amended lawsuit says Microsoft played a central role in removing three OpenAI board directors who were part of a four-director group that briefly ousted Altman a year ago. Musk also alleged that Microsoft pressured OpenAI not to release its models as open source software in order to maximize the startup’s profits, of which it gets a share.
